These Terms and Conditions (the “Agreement”) form the agreement between the individual identified on the Application Form (“You”) and Longitude Research Limited (“Longitude” or “Us”) for membership of the Thought Leadership Network.
1. INTERPRETATION
1.1 In this Agreement, words and phrases have the following meaning:
“Application Form” means the online membership application form that You completed at the same time as ticking the box to indicate your acceptance of this Agreement;
“Event” means any event organised by Us under the Thought Leadership Network brand;
“Materials” means any materials which we have made available at an Event, or on this website in relation to an Event, such as marketing materials, speaker papers and presentations, associates papers, recordings, footage and photographs, but excluding User Generated Content;
“Membership” means membership of the Thought Leadership Network,
“Sanction” means any sanction, prohibition or restriction under United Nations resolutions or the trade or economic sanctions, laws or regulations of the European Union, United Kingdom, Hong Kong or United States of America;
“Term” shall mean the period of 12 months from the date We notify You that your application has been successful; and
“Thought Leadership Network” means a series of members-only forums created and managed by Longitude which provides members with access to a series of events and content aimed at individuals involved in thought leadership.
“User Generated Content” or “UGC” means any information and materials posted, uploaded or made available by members (including You) on the Thought Leadership Network website.
2. MEMBERSHIP
2.1. We will endeavour to inform you by e-mail whether your application for Membership has been accepted within seven days of receiving your completed Application Form.
2.2 .In the event that we inform you that your application has been accepted, You will be granted Membership for the Term, provided always that you comply with all terms of this Agreement.
2.3. By submitting the Application Form, You warrant that You are entering into this Agreement for purposes related to your trade, business or profession, You are entitled to and have the necessary authority to enter into this Agreement, You are not and have not been disqualified as a director in any jurisdiction, rejected or disbarred from any professional body or the subject of any professional or regulatory investigation, and You are not subject to any Sanctions.
2.4. You agree that:
Operation of Events
(a) The focus, content and logistics of all Events, including the venue, date, and invited speakers and attendees, are at our discretion and subject to change;
(b) You shall advise Us of any special access requirements at the time of accepting the relevant invitation;
(c) You will notify Us as soon as reasonably practicable if You are no longer able to attend an Event for which you have registered;
(d) We may refuse You admission or remove You from any the Event at our sole discretion, including where we consider that You represent a security risk, nuisance or annoyance to the running of the Event or any attendee, the Event is already at maximum capacity, or You have failed to comply with this Agreement;
(e) We may in exceptional circumstances need to postpone or cancel an Event, in which case We will endeavour to notify You as soon as reasonably practicable. Any replacement Event shall be in our sole discretion;
(f) Views expressed by speakers at the Events are their own and not necessarily the views of Longitude;
(g) We will not be in breach of this Agreement, nor liable for delay in performing, or failure to perform, any of our obligations under it (including for any delay or failure to host an Event) if such delay or failure results from any events, circumstances or causes not within our reasonable control;
(h) We make no warranty or representation regarding the number, seniority or identity of the speakers and/or attendees at any Events;
Behaviour at Events
(i) You shall always comply with our reasonable instructions and behave in a professional and appropriate manner when attending Events;
(j) You will not do, or permit to be done, anything which may reasonably be interpreted by Longitude as being prejudicial, detrimental or denigrating to Longitude or the Thought Leadership Network
Use of Materials
(k) We (or our licensors) are the owner of all intellectual property rights in the Materials;
(l) You may use the Materials for your own internal business purposes and may share the Materials within your organisation and with third parties provided always that you do not:
(l-i) modify or distort the meaning of such Materials;
(l-ii) remove any proprietary notices that appear on such Materials;
(l-iii) represent to any third party that Longitude or the Thought Leadership Network endorses Your business, products or services or that you represent us;
(l-iv) use such Materials in this manner if We have clearly indicated that such Materials are not intended for such use;
(m) You will promptly cease use of any Materials at our written request;
(n) No other use of our logos, trade marks, service marks or brand names is permitted without our prior written permission;
(o) Materials are intended for information purposes only and not intended to provide advice or recommendations. Longitude shall not be liable for any reliance on, or action or decision taken because of any Materials or views expressed at any Events;
Filming and Photography
(p) The Events and any attendees may be filmed, photographed and/or recorded, and We may license or distribute that content as we see fit, in any media, including social media, for any purposes;
(q) You shall not have any claim to compensation or benefits or any claim, including, without limitation, claims for compensation, benefits or damages based upon invasion of privacy, defamation or right of publicity, arising out of any use, alteration, blurring, distortion or use in composite form of Your name, image, picture, voice, or likeness in connection with such footage or photographs. You must therefore inform the photographer(s) at the Event(s) if You do not wish to be included in any individual or group footage or photographs;
(r) You may take photographs at the Events for personal and non-commercial use, but you will not make video or audio recordings of any the Events, or use any photographs for commercial purposes, unless expressly permitted by Longitude. You are solely liable for any photographs, footage, or other recordings that You take or make at the Events, including claims of intellectual property infringement or violation of privacy;
Data Protection
(s) By using our site, you agree to the terms of our Privacy Policy;
(t) We may contact You about the organisation and administration of the Thought Leadership Network and Events;
(u) We may include your name, title and the name of your employer on Membership and Event attendee lists and provide such lists to other members and attendees for the purposes of identifying membership status and networking and meetings. If You do not wish to be included on these lists, please email us at enquiries@longitude.co.uk;
(v) You will keep any and all membership and Event attendee list(s) strictly confidential and not disclose such lists or their contents to any third party, nor will You use the personal data contained in such lists for marketing or promotional purposes or any other purposes;
User Generated Content
(w) You will retain ownership of your User Generated Content so you are free to re-use it as you wish. You grant to Us a perpetual, non-terminable licence to publish, re-use, archive, modify, delete or commercially exploit that UGC in whole or in part as we see fit, whether on thoughtleadershipnetwork.com or otherwise, without any requirement to pay you for this and with or without attribution to you. You also waive any moral rights that you may have in regard to the UGC.
(x) You are responsible for any of your UGC that you submit or publish. You are financially responsible to us for any claim against us by any third party that your UGC is not in accordance with this Agreement or that otherwise relates to your UGC. Your UGC must:
(x-i) be your original content and not infringe any third party’s copyright or other rights;
(x-ii) be relevant and in no way threatening, libellous, offensive, indecent, discriminatory, unlawful, impersonate or misrepresent a third party or contain personal attacks on other members;
(x-iii) not contain any confidential information, advertising or promotional materials, spam, recommendations to buy or not buy a particular investment or have the purpose of affecting the price or value of any investment, or any viruses, files or code designed to interrupt, delay or limit the functionality of our site or any software or equipment;
(y) You agree that We cannot be responsible for the accuracy, integrity or quality of any UGC. It is not possible for Us to fully monitor all UGC but where we have actually received notice of any UGC that is potentially misleading, untrue, offensive, unlawful, infringes third party rights or is potentially in breach of this Agreement, then we will review that UGC, decide whether to remove it and act accordingly. If you believe that any UGC published on our site infringes any legal rights that you may have or is not allowed under this Agreement, please notify us immediately with specific details by contacting us at enquiries@longitude.co.uk.
3. TERMINATION
3.1. Either party may terminate this Agreement at any time for any or no reason on immediate written notice to the other party
3.2. Your Membership will immediately terminate on termination or expiry of this Agreement. Any clauses which expressly or by implication survive expiry or termination of this Agreement will continue in full force and effect, and any of the parties’ rights and remedies that have accrued shall not be affected.
4. LIABILITY
4.1. You are responsible for arranging your own appropriate insurance cover in connection with your attendance at an Event. We shall not be liable for any kind of loss or damage to You or your personal property.
4.2. We shall not be liable to You for any direct, indirect, economic or consequential loss or any loss of business, use, profit, anticipated profit, contracts, revenues, goodwill or anticipated savings arising in connection with this Agreement, even if You have been advised of the possibility of such loss or damage.
4.3. The total liability of Longitude, whether in contract, tort or otherwise in respect of any breach of its obligations under this Agreement or any representation, statement, negligent act or omission arising under or in connection with this Agreement will be limited to direct damages which will in no event exceed the greater of any fee You have paid Us to attend the relevant Event or £100 (one hundred pounds).
4.4. Nothing in this Agreement will limit or exclude our liability: (a) for death or personal injury caused by that party’s negligence; (b) for fraud or for fraudulent misrepresentation; (c) for any other matters for which it would be unlawful to exclude or limit liability.
5. GENERAL
5.1. Any written notice required by this Agreement must be sent by e-mail to enquiries@longitude.co.uk in the case of notices to Longitude, and to the e-mail address given on your Application Form in the case of notices to You. A notice will be deemed to have been received one business day after transmission if sent by email.
5.2. This Agreement constitutes the entire agreement between Longitude and You relating to Membership of the Thought Leadership Network, and it supersedes and extinguishes all previous communications, representations and arrangements, either written or oral.
5.3. If any provision of this Agreement is found to be invalid by any court having competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions of the Agreement, which will remain in full force and effect.
5.4. A person who is not a party to this Agreement will not have any rights to enforce its terms.
5.5. Failure by either party to exercise any right or remedy under this Agreement does not constitute a waiver of that right or remedy.
5.6. Nothing in this Agreement shall constitute a partnership, agency, joint venture or agreement of employment between the parties.
5.7. You may not assign, transfer, delegate or sub-contract any of your rights or obligations under this Agreement to any third party without our prior written consent.
5.8. This Agreement shall be governed by and construed in accordance with the laws of England and Wales and to the extent possible the parties submit to the exclusive jurisdiction of the English courts.
5.9. We may update this Agreement at any time for legal or regulatory reasons, or to reflect changes in our services or business practices. Updated Terms and Conditions will be posted on this website and will come into effect on the date they are posted, subject to the following: We will notify You of any significant changes, or changes that materially affect Your rights or obligations, and those changes will be deemed to come into effect unless You object in writing within 14 days’ of such notification.
5.10. These Terms and Conditions were published on 14th February 2020.
